Freeborn represents both lenders and borrowers in a broad range of finance and restructuring transactions. We have extensive experience negotiating and documenting revolvers, asset-based facilities, acquisition finance, leasing and credit enhancements and have an in-depth understanding of the current state of the lending environment and its players.  We are especially adept in implementing practical yet creative business solutions based on our legal knowledge and business experience.

Capitalizing on the in-house experience of many of our lawyers, we staff our deals with experienced commercial finance attorneys who bring a unique business perspective to each deal. We understand what it is like to be the client and to manage a budget and a deadline. With that in mind, we work efficiently and effectively to achieve our client’s business goals, keeping their best interests and ongoing relationship with the other deal parties in mind.

Representative Matters

Acquired mortgage-backed loan for Indiana property from Bank of America and immediately worked out deed-in-lieu of foreclosure with the Borrower.

Closed $9,000,000 participation in loan for the acquisition of a health club in downtown Chicago.

Closed $10,000,000 financing of acquisition of industrial property in Placer County, California. The deal was collateralized by preferred equity interests in the property-owning LLC and the LLC interests of another entity in Indiana.

Represented a private equity lender in providing DIP financing for a cable television operation, including warrant grants, clawback rights, PIK interest and complex FCC issues.

Represented a Canadian corporation and its U.S. subsidiaries in a $1 billion master credit facility from a consortium of Canadian and U.S. lenders.

Represented an ESOP borrower in the refinancing of an $85 million senior, secured-term and revolving debt facility from a syndicate of lenders.

Closed numerous railcar, locomotive, aircraft and vessel lease financing transactions.

Represented a Chicago-based private equity firm in connection with its financing and acquisition of a leading American precious metal dealer.

Represented a Chicago-based private equity firm in connection with the financing and platform acquisition of a leading provider of outsourced electronics repair service programs.

Represented an Illinois manufacturing company with respect to a $225 million syndicated loan in connection with a reorganization and recapitalization of the company.
