Corporate Advisory

From the corporate advisory side, our lawyers are experienced counselors, assisting with strategy as well as drafting and contracting on a wide variety of issues including:

  • Franchise and dealership agreements
  • Franchise disclosure statements
  • Vendor and supplier contracts

In addition, we provide experienced counsel on marketing products and services through franchises, dealership and other forms of distribution on issues such as pricing strategies, preserving intellectual property rights, corporate governance, deal making as well as asset purchases and sales.

When our clients face state and local government issues, we assist them with their issues surrounding liquor licensing, zoning changes, lottery commission issues and department of motor vehicle requirements.

Litigation

When litigation arises, we provide experienced counsel and representation in state and federal courts across the country as well as in administrative proceedings.  Our experience includes: franchise and dealership termination cases under state and federal law, including special franchise and dealership statutes such as the Petroleum Marketing Practices Act, state franchise disclosure acts and motor vehicle dealership acts.
