We represent a variety of borrowers across multiple industries, including owners and developers in construction and real estate, food manufacturers, transportation companies and healthcare organizations, among many others. Our banking and finance counsel includes general transaction assistance – including contract review and negotiations – as well as litigation and bankruptcy support.
Our banking and finance practice has assisted lenders, borrowers and investors in a variety of complex transactions. Our experience includes representing parties in secured and unsecured lending transactions; corporate reorganizations and restructuring; syndicated commercial financing transactions; and loan workouts, including forbearance agreements, deeds in lieu, deeds in escrow, loan modifications and consent foreclosures. We also assist with the negotiation and drafting of loan agreements, mortgages, security agreements, promissory notes and intercreditor agreements. Our experience includes the representation of a lead lender in connection with the negotiation and documentation of a $32 million syndicated loan made to a multi-borrower group and secured by multiple parcels of real estate located in several states and a collateral assignment of stock in a banking corporation. We also represented a lead lender in connection with the negotiation and documentation of $180 million syndicated secured financing made to a 65-member borrower group.
We also have unique experience in the area of equity crowdfunding, having represented multiple issuers in connection with the offering of securities through crowdfunding internet portals and the drafting of related federal, state and other mandatory disclosures.
