About
Robyn N. Davis is a Partner in Freeborn’s Corporate Practice Group. Working from her belief that relationships are critical to most aspects of business law, she considers herself a chief relationship manager. Her mission is to help businesses succeed through the thoughtful and thorough management of their internal and intra-organizational relationships and external connections with business partners, investors, client, and relevant sectors of government.
Robyn excels at guiding her clients through complex negotiations and understands successful outcomes require balancing trust with proper risk allocation. She brings a clarity of vision and attention to detail, always striving for greater efficiencies and satisfaction among all parties.
A comprehensive business attorney and strategist, Robyn draws on her experiences with two AmLaw 125 firms and nearly twenty-year career as senior legal and general counsel to companies, including several in the Fortune 200, to assist both mature and emerging companies in issues as varied as early-stage corporate counseling and formation, corporate transactions, governance, and operational business law.
For clients early in their development, her goal is to set the stage for successful capital raises and ongoing operational excellence. Her guidance managing fundamental issues of entity selection, equity investment, compensation of critical contributors, and governance has expedited her clients’ efforts to raise capital in the private placement and venture markets.
A seasoned transactional attorney, she has represented organizations both public and private in M&A, private placement, financing transactions, and divestitures, and managed all the regulatory and ancillary issues flowing therefrom. She has also structured and documented joint ventures and alliances in support of clients’ business and new product development efforts.
In addition to her solid transactional experience, her clients benefit from her previous experience as an in-house attorney in industries as varied as retail and consumer packaged goods, to heavy manufacturing and technology. As a veteran of several leanly staffed law departments, Robyn has fielded or overseen an extensive variety of legal topics. She is as comfortable negotiating technology transfer and license agreements as she is structuring joint ventures and critiquing consumer-focused advertising and marketing.
Robyn understands the pressures faced by in-house counsel and is passionate about helping them operate more efficiently. With a deep understanding of how companies work and the different relationships that must be considered and managed in order for a legal department to be a true business partner, Robyn confers with her clients to evaluate their legal and business operations and help them develop tools and procedures that result in faster legal department response times without compromised work product or elevated financial risks.
Outside of work, Robyn enjoys genealogical research, attending live music performances and traveling with her family.

Contract Negotiation

Played key role in Circuit City’s entry into a new market that was a differentiator in the consumer electronics space—drafted/negotiated joint marketing and strategic alliance agreements with builders for home entertainment integration services business unit.

Salvaged and drove to completion $8M services agreement with eBay (one of firm’s largest clients) after negotiations had stalled for months. Expanded scope of service to provide increased revenue for company.

Enabled client to retain $1.5M realized under contract by restructuring terms to cure accounting ambiguity. Drafted and negotiated API and SaaS licenses, technology consulting arrangements, and multi-party collaboration agreements.
Transactional Leadership

Second-chaired $87M acquisition of private-equity client, Digital Archaeology Corp. (producer advanced analytic applications for e-business), closed within two weeks of inception.

Facilitated H&R Block’s business diversification plan by performing in-person closings of attest and non-attest assets in a series of accounting firm acquisitions.

Lead transactions counsel for sale of a $100M solar energy production facility, including unwinding of New Markets Tax Credit financing arrangement involving municipal, state, and commercial lenders.

Lead counsel for multinational technology-based specialty glass manufacturer in $12M sale of a subsidiary’s assets to a competitor, and sale and leaseback of production facility to a company executive.

Led all aspects of Circuit City’s expansion into Puerto Rico to surpass Best Buy to market. Translated numerous laws affecting HR, compliance, inventory control, and other operational issues.
Operational Improvements

Dramatically improved financial efficiencies and reduced legal and reputational risk by spearheading the creation of standardized agreements and contracting procedures (as well as delivering training) in the areas of Manufacturing, Research & Development and Marketing for a leading-edge pet nutrition company.

Overhauled several pivotal contracts to clarify intent and reduce risk and exposure for several businesses.
Corporate Governance

Served as outside GC for privately held startup proprietor of innovative, interactive and data integrating presentation platform. Organized entity and created initial set of governance and private placement documents; collaborated with founder to develop IP strategy; and drafted/negotiated agreements for the provision of technology development and other services. Company is a successful going concern two years later.

Served as corporate secretary to multinational manufacturing company and nonprofit development consulting agency, including maintaining corporate minute books and drafting required resolutions.
